Seller Agreement

This Seller Agreement ("Agreement") applies to everyone who opens a shop and sells on Suki Neighbors ("Suki"). It is in addition to our Terms of Service and Privacy Policy. By ticking the agreement box and opening a shop, you confirm you have read, understood, and accept this Agreement.

Suki only connects you with buyers

Suki is a platform that helps neighbors discover and reach each other. That is all it does. Suki is not a party to any sale between you and a buyer. Suki does not cook, prepare, handle, inspect, taste, store, package, or deliver any food or goods, and Suki does not hold, process, or guarantee any payment. Every order is a direct transaction between you (the seller) and your buyer.

You are responsible for food safety

You alone are responsible for everything about the food and goods you sell. This includes, at minimum:

You are responsible for following the law

You represent that you have the right to sell what you list and that you will comply with all applicable laws and local rules. Depending on what and where you sell, this may include barangay or LGU clearances, DTI/business registration, BIR registration and taxes, and FDA/LTO or sanitary permits. Securing and keeping these current is your responsibility, not Suki's.

Payments, fulfillment, and delivery are between you and the buyer

Payments happen directly between you and your buyer (for example GCash, Maya, bank transfer, or cash on delivery). Suki never holds or handles the money. You are responsible for fulfilling every order you accept, for delivery or pickup arrangements, and for any rider or helper you use. Refunds, replacements, and payment disputes are yours to resolve with the buyer.

Complaints and disputes are handled by you

Any complaint, dispute, claim, illness, allergic reaction, injury, damage, or dissatisfaction relating to your food, goods, or an order is your responsibility and is resolved directly between you and the buyer. Suki is not a mediator, insurer, or guarantor of any transaction.

Suki is not liable

To the fullest extent permitted by law, Suki, its operator, and its owner are not liable for any loss, injury, illness, food poisoning, allergic reaction, death, property damage, financial loss, or any other harm or dispute arising out of or connected to the food or goods you sell, your listings, your conduct, an order, a payment, or a delivery. You use Suki and sell on it at your own risk. Suki is provided "as is" with no warranties of any kind.

You agree to indemnify Suki

You agree to defend, indemnify, and hold harmless Suki, its operator, and its owner from and against any claim, demand, liability, loss, damage, cost, or expense (including reasonable legal fees) arising out of or related to your food or goods, your listings, your conduct, your breach of this Agreement or the law, or any transaction you enter into through Suki.

Conduct and enforcement

Do not list unsafe, spoiled, illegal, or misrepresented items. Honor the orders you accept and treat your neighbors honestly and respectfully. Suki may warn, suspend, or remove any seller or listing that violates this Agreement, the Terms of Service, or the law, at its discretion.

Your acknowledgment

By ticking the agreement box and opening a shop on Suki, you confirm that you have read, understood, and agree to this Seller Agreement, that you are solely responsible for the food and goods you sell, and that Suki is only a platform that connects you with buyers.

General

This Agreement is governed by the laws of the Republic of the Philippines. If any part of it is found unenforceable, the rest still applies. This page is not legal advice. We may update this Agreement; continued selling after an update means you accept the changes.
